Terms of Service — Crewkind

1. About These Terms

These Terms of Service (“Terms”) govern your use of the Crewkind HR platform (“Service”) operated by Crewkind (“we”, “us”, “our”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

2. The Service

Crewkind provides a software platform for HR record-keeping, people management, onboarding, leave management, and staff engagement. The Service is provided on a software-as-a-service basis.

Important: Crewkind is a technology platform only. We do not provide legal, HR advisory, employment law, tax, or compliance advice. Any decisions made using information from the Service remain your sole responsibility.

3. Your Responsibilities

You are solely responsible for:

The accuracy, legality, and completeness of all data you enter into the Service, including employee records, leave entitlements, working patterns, and HR notes
Ensuring your use of the Service complies with applicable employment law, including the Working Time Regulations 1998 and the Employment Rights Act 1996
Verifying any calculations produced by the Service (including holiday entitlement and leave balances) before making HR decisions
Maintaining the confidentiality of your account credentials
Ensuring that anyone you grant access to the Service is authorised to process the personal data held within it

4. Acceptable Use

You may not use the Service to:

Process personal data you are not legally authorised to process
Violate any applicable law or regulation
Attempt to gain unauthorised access to any part of the Service or its infrastructure
Transmit any malicious code, spam, or disruptive content
Resell or sublicense access to the Service without our written consent

5. Subscription and Payment

Access to the Service is provided on a subscription basis. Pricing is set out on our website and may be updated with 30 days' written notice. Your subscription continues until cancelled.

Free trials: We may offer a time-limited free trial. At the end of the trial period, a paid subscription is required to continue using the Service.

We may suspend access to the Service for non-payment with 7 days' written notice. Persistent non-payment may result in termination of your account.

6. Termination

Either party may terminate this agreement with 30 days' written notice. You may cancel your subscription at any time through your account settings or by contacting us at support@crewkind.app.

We may terminate your access immediately if you materially breach these Terms and fail to remedy the breach within 14 days of written notice.

Upon termination, your data will be retained for 30 days, during which time you may request an export. After 30 days, your data will be permanently deleted in accordance with our Data Processing Agreement.

7. Limitation of Liability

To the fullest extent permitted by applicable law:

Cap on liability: Our total aggregate liability to you in respect of any losses arising under or in connection with these Terms shall not exceed the total fees paid by you to us in the 12 months immediately preceding the event giving rise to the claim.
Excluded losses: We shall not be liable for any indirect, consequential, special, or punitive damages, loss of profits, loss of business, loss of data, or loss of goodwill, whether arising in contract, tort (including negligence), or otherwise, even if we have been advised of the possibility of such losses.
Data accuracy: We do not warrant that calculations produced by the Service (including holiday entitlement, leave balances, or payroll figures) are error-free. You must verify all such calculations before relying on them.
Availability: We do not guarantee uninterrupted access to the Service. We will use reasonable endeavours to maintain availability but shall not be liable for any losses arising from downtime.

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded or limited by law.

8. Intellectual Property

The Service and all content, software, and technology within it are owned by or licensed to Crewkind and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to use the Service for your internal business purposes.

You retain ownership of all data you upload to the Service. By uploading data, you grant us a limited licence to process that data for the sole purpose of providing the Service to you.

9. Changes to These Terms

We may update these Terms from time to time. We will notify you at least 30 days before any material changes take effect. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
